一、协议的确认与接受

欢迎使用乾元执中（南京）科技有限公司（以下简称“乾元执中”或“我们”）提供的软件与相关服务。本《服务条款》（以下简称“本条款”）构成您（以下简称“用户”或“您”）与乾元执中之间就下载、安装、使用移动应用程序「无极开物」（英文代称：Kaiwu / Wuji Kaiwu）及访问官方网站所订立的具有法律约束力的协议。

在您点击同意、下载安装或实际使用本服务前，请仔细阅读本条款各款内容。若您不同意本条款的任何内容，请立即停止使用并卸载本软件。

二、服务内容与软件许可

1. 服务说明：「无极开物」是一款面向技术人员与开发者的移动端远程控制与协作编程工具，提供与开发机环境的远程连接、智能交互辅助、会话同步及终端管理等功能。

2. 使用许可：我们授予您一项个人的、非排他性的、不可转让的、可撤销的有限许可，以依据本条款在兼容的设备上运行本软件。

3. 更新与维护：为改善用户体验或提高安全性，我们可能会不定期对软件进行更新、升级或功能优化。

三、用户行为与使用规范

您在使用本软件及相关服务时，必须严格遵守中华人民共和国相关法律法规以及公序良俗，承诺不得从事下列行为：

  • 利用本软件从事任何危害国家安全、泄露国家秘密、破坏社会稳定或侵犯他人合法权益的违法犯罪活动；
  • 利用本软件制作、上传、传播虚假信息、病毒、恶意木马或进行网络攻击、扫描、侵入他人系统；
  • 对本软件的安全机制、端到端加密协议进行反编译、反汇编、恶意破解或未经授权的篡改；
  • 违反与本软件连接的第三方 API（如大语言模型服务）的使用政策与服务条款；
  • 以任何自动化机器人、蜘蛛或高频恶意请求冲击中继服务器或干扰其他用户的正常使用。

四、第三方服务与 AI 接口

1. 本软件支持用户自行配置或调用第三方服务接口（例如第三方 AI 接口提供商、云存储中继等）。

2. 您明确知悉并同意：第三方服务由其各自的提供方独立运营与负责。您使用第三方服务须自行遵守该第三方的服务条款与隐私政策，因第三方服务中断、变更、收费或其生成内容所产生的责任与争议，由您与该第三方自行协商解决。

五、知识产权声明

1. 乾元执中依法享有本软件的商标、商业标识、界面设计、前端代码及系统架构的全部知识产权。

2. 用户数据与产出归属：用户通过本软件编写、传输的代码、文档及产生的工作成果，其知识产权完全归属于用户本人。本应用采用端到端加密机制，我们对您的代码与私有数据不主张任何所有权。

六、免责声明与责任限制

1. 按“现状”提供：本软件按“现状（AS IS）”及“现有（AS AVAILABLE）”基础提供。乾元执中在法律允许的最大范围内，不作任何明示或暗示的保证，包括但不限于适销性、特定用途适用性或无侵权保证。

2. 网络环境：因网络故障、中继延迟、不可抗力、黑客攻击或第三方服务故障导致的数据传输延迟或中断，我们在法律允许的范围内免于承担直接或间接赔偿责任。

3. 间接损失排除：在任何情况下，乾元执中均不对因使用或无法使用本软件而导致的间接性、惩罚性、附带性或利润损失承担赔偿责任。

七、条款修订与终止

我们有权在必要时修订本条款。更新后的条款一旦在官方网站公布或在应用内提示即行生效。如果您违反本条款的任何约定，我们有权暂停或终止向您提供服务。您亦可随时卸载本软件以终止本协议。

八、适用法律与争议解决

1. 本条款的订立、执行、解释及争议解决均适用中华人民共和国法律。

2. 因本条款或使用本软件引起的任何争议，双方应友好协商解决；协商不成的，应向被告住所地（江苏省南京市）有管辖权的人民法院提起诉讼。

Terms of Service (English Translation)

1. Acceptance of Terms

By downloading, installing, accessing, or using the mobile application "Kaiwu" (also referred to as "Wuji Kaiwu") or visiting our website, you agree to be legally bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you must not use or install the software.

2. Service Description and License

1. Description: "Kaiwu" is a developer productivity and remote collaboration tool that enables secure communication with remote development environments, session management, and AI-assisted workflows.

2. Grant of License: Subject to your compliance with these Terms, Qianyuan Zhizhong grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and execute the App on supported personal devices.

3. Acceptable Use

You agree to use the software responsibly and in compliance with all applicable laws. You shall not:

  • Use the software for any unlawful purpose, including unauthorized penetration testing or dissemination of malicious code;
  • Attempt to reverse engineer, decompile, or compromise the integrity of cryptographic protocols and security barriers;
  • Infringe upon the intellectual property or privacy rights of any third party;
  • Interfere with or overburden our relay infrastructure or networked services;
  • Violate terms of service imposed by third-party API providers that you integrate with the App.

4. Third-Party Services and APIs

The software may connect to external APIs and AI platforms chosen and configured by you. We do not control, warrant, or assume liability for the availability, content, pricing, or uptime of any third-party service. You are solely responsible for obtaining necessary credentials and maintaining compliance with third-party policies.

5. Intellectual Property

All trademarks, system logos, interface designs, and software code provided by Qianyuan Zhizhong are our exclusive property. Your code snippets, private messages, and work outputs transmitted through the end-to-end encrypted protocol remain your sole property.

6. Disclaimers and Limitation of Liability

The software is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. To the maximum extent permitted by law, Qianyuan Zhizhong shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or loss of profits or data arising from your use of the software.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising out of or related to these Terms shall be submitted to the competent people's court in Nanjing, Jiangsu Province, China.
